The club shall be called Spye Park Cricket Club


The objectives of the club shall be:

  • the association in a club of persons connected with the playing and enjoyment of cricket;
  • the provision and maintenance of club premises at the Spye Park Estate, Chittoe, Wiltshire;
  • the other advantages and benefits usually associated with a club.


All persons of not less than 18 years old (as at 1st January for that calendar year) shall be eligible for senior membership. All persons of 17 years and younger shall be eligible for youth membership. Any persons of less than 22 years old and in full time education shall also be eligible for youth membership.


All Club members, players and visitors are required to conduct themselves at all times in accordance with the ‘The Spirit of Cricket’.

The procedure for considering instances when this is not the case will be as follows:

  1. Team Captain to manage the incident at the time or immediately following a match;
  2. should the Captain or any player, member or visitor wish to follow up with further action* after an incident, they are asked to report the incident to the Committee within 7 days;
  3. in such instances a Disciplinary Committee will be formed, including the Captain, person(s) involved, Club Chairman and/or a further representative from the Committee;
  4. the Disciplinary Committee will convene at the soonest possible opportunity and hear the views of all parties; decide on and implement appropriate action;
  5. the Disciplinary Committee will report back to the full Committee at the next Committee Meeting.

*as a guide, an example of an incident that might warrant further action is when the captain / representative of the Club has had to apologise to the opposition, umpires and/or spectators.

The primary objective is for everyone to conduct themselves in a manner that respects the Club and also the Estate. The above is provided as a guide as to how to deal with instances when conduct is considered to be unacceptable and whilst each individual will always have a right to reply and an opportunity to properly discuss specific incidents, it should be noted that the reputation of the Club and the Estate must be respected at all times.


The club shall be managed by a committee of elected officers and up to a maximum of 5 elected members. The committee shall be elected at the Annual General Meeting in each year, and, subject to termination of office by resignation or otherwise, shall remain in office until their successors are elected at the Annual General Meeting following their election. The committee shall have power to fill any casual vacancy that may arise. The retiring members of the committee shall be eligible for re-election.


The Secretary is responsible for conducting the correspondence of the club and to have custody of all documents belonging to the club or to be aware of such documents. The Secretary must keep full and correct minutes of all proceedings.


The Treasurer is responsible for keeping the Accounts of the Club and must make up the Annual Statement of Accounts and Balance Sheet to 31st October in each year. The Annual Statement must be made available to all members at The Annual General Meeting and should set out clearly the total income and expenditure of the Club to enable The Committee and Members to carry out a review of the Annual Subscriptions, match fees and any other related items at the Annual General Meeting.


The property of the club must be vested in 3 trustees appointed by the committee.

The trustees must deal with the property as the committee from time to time directs by resolution (of which an entry in the minute book is to be conclusive evidence).

The trustees may be indemnified against risk and expense out of the club property.

The trustees will hold office until death or resignation or until removal from office by the committee.

Where, by reason or death, resignation, or removal it is necessary for a new trustee or trustees to be appointed, the committee must nominate the person or persons to be appointed the new trustee or trustees.

For the purpose of giving effect such nomination the Chairman is now appointed as the person to appoint new trustees of the club within the meaning of the Trustee Act 1925 s.36, and he must by deed appoint the person or persons nominated by the committee.


The annual subscription for playing members and match fees shall be decided at the Annual General Meeting.

Subscriptions shall be due on the 01 day of January in each year. The committee shall have power to elect as honorary life members, without payment of any further subscription, any member who shall in the opinion of the committee have rendered services to the club, but such election shall not take effect unless and until confirmed at the Annual General Meeting next ensuing after the date of such election.


The names of all members whose current subscription shall not have been paid before the 31 day of May in any year and who neglect to comply with a written request for payment within 7 days after the same shall have been sent to them shall be posted on the notice board of the club, and such members shall cease to be members on the expiration of 30 days unless a reason satisfactory to the committee shall be given for the delay.


The committee shall have power to expel any member whose conduct shall in the opinion of the committee render said person unfit for membership of the club (see para 4 above). Before any member is expelled, the procedure identified at para 4 above should be followed and a Committee meeting will then be required to consider the findings of the appointed Disciplinary Committee. No member shall be expelled without first having had the opportunity of appearing neither before the committee and answering complaints made against said person nor unless two-thirds of the committee then present vote in favour of expulsion.


The committee shall have power to alter the Constitution, but no such alteration shall take effect until the same has been confirmed at the Annual General Meeting or a special general meeting convened for the purpose.


The committee shall have power to make byelaws for regulating the conduct and affairs of the club provided the same are not inconsistent with the Constitution. Such byelaws shall be posted in some conspicuous part of the club premises and shall be binding on all the members.


A general meeting of the club shall be held in every year not later than the 30 day of November to transact the following business:

  • to receive and, if approved, to adopt a statement of the club’s accounts to the end of the preceding year;
  • to consider, and, if approved, to sanction any duly made alteration of the Constitution;
  • to appoint the officers and other members of the committee;
  • to approve the election of any persons as life members
  • to deal with any special matter which the committee desires to bring before the members and to receive suggestions from the members for consideration by the committee.

Notice convening the general meeting shall be sent to the members not less than 10 days before the meeting and shall specify the matters to be dealt with.


A special general meeting may be convened at any time by the committee and shall be convened within 21 days from the receipt of a requisition in writing signed by not less than 5 members specifying the object of the meeting for any of the following purposes:

  • to consider, and, if approved, to sanction any duly made alteration of the Constitution;
  • to deal with any special matter which the committee desires to bring before the members;
  • to remove any member or members of the committee from office and to fill any vacancy or vacancies caused by such removal
  • to deal with any special matter which the members requiring the meeting may desire to place before the club.

Notice convening a special general meeting shall be sent to the members not less than 10 days before the meeting and shall specify the matters to be dealt with.


At committee meetings and at general meetings a chairman shall be elected to preside and he shall have a casting or additional vote in the event of an equality of votes.


At committee meetings (except for the purposes of para 16 when half the total members of the committee shall form a quorum) 5 shall form a quorum. At general meetings 10 shall form a quorum. Members under the age of 16 and temporary members may attend general meetings, but they shall not be entitled to vote, and they shall not be counted as part of the necessary quorum
